I decided to change to a: ASUS® Z97-A Motherboard.
I have couple more questions!
I decided to go with intel stock cooler, but i will be buying the CM Hyper 212 EVO online and mounting it in myself.
1. Will this affect my warrenty?
2. If i decided to change to 212 EVO will i have to take out my motherboard to mount the new cooler?

1- no unless you damage the system
2- probably, there is likely to be a plate at the back

It can be daunting if your not used to handling the parts and are unsure of where to replace things. You would be better if you are uncomfortable doing it to get PCS' air cooler that they offer when you order your PC

Or forget about overclocking if it is not essential

I've heard in general that the intel stock cooler on those newer i7's is pretty damn bad.
Mainly i want to replace it so it will give me some small overclocking potential and cooler inside case.

Kinda have to agree with Keynes here. Although your decision is made already if you want to try and overclock.

Looks good, but I wouldn't bother with the unlocked CPU unless you had a better cooler to OC it.

There is a minimal difference between the K and non-K when it comes to price and the Clock Speed is increased by 500Mhz from 4790 to 4790k ;)

You are basically saying the clock speed is not noticeable if i overclock my cpu .

The cooler you got is not going to allow you to increase the clock speed by much. Without any overclock the higher turbo boost is not going to be noticeable and for most games with an overclocked CPU you also won't notice a difference. You can check benchmarks online.
